General Trade Terms and Conditions

Purview/general remarks
Our deliveries and  services follow solely on the basis of this general business terms and conditions. Even if we note contradictory terms and conditions at the customer's site and in case of an unconditional delivery and service provision to the contract partner too.

Offering and contract closing
Orders need a confirmation in a written form. The content of this confirmation is relevant for validity of contract. Verbal agreements and agreements by phone are legally valid if available a written confirmation. First an order it's a binding offer. We accept the offer with sending order confirmation or with the unconditional delivery or service provision. We bound to our offers for 30 calendar days. If there is an order without a previous concrete offer from the customer, we calculate the real costs on the basis of usual terms.

Prices, costs, cancellation
The price specified is a net price ex warehouse, if there is no contrary explicit agreement. We reserve the right for a reasonable price adjustment in case of price increases from external suppliers, other cost factors or exchange rate fluctuations after contract closing. With a binding order restitution and cancellation excluded. For redemtion as an act of generosity it's necessary to have a flawless and perfectly functioning product back. We arrange a credit note only for re-usable and perfect function products. Costs for a redemtion as an act of generosity will be invoiced to the customer. For all custom-made items a redemtion is generally excluded. For redemtion as an exception will be invoiced the costs in the amount of not less than 30 percent from net price to the customer.

Payment terms
If there is not an other agreement in written form, the buying price is payable without discount directly after bill receipt at the customers site.

Reservation of title
Until complete payment the ordered goods will be our own.

Shipment and delivery times
We execute delivery at the buyer's risk by order and for account of customer. Information for delivery dates we give to the best of one's judgement but without legal obligation. For coming in default it's needed a proportionate period of grace, made in a written form by the customer. In case of an act of nature or other unforeseeable exceptional situation not represented by us it's possible to push back the delivery or service date for the period of extraneous disturbance plus a proportionate period for start-up again. The latter includes interruption of operations because of fire, water or other climatic influences, outage of manufacturing plants, supply shortage at external suppliers, shortage of raw materials, energy or labour deficits, traffic disruption and administrative measures.

Transport
Goods will be delivered from stock basically, if there is no other specific agreement. From stock goods be collected by the customer at his own risk.
In case of a transport damage or a too long shipping time, the customer put the complaint at the shipping company or the named carrier. Without a specific agreement, it will be made a regular and useful packaging and calculated at cost price. If necessary or needed a more expensive packaging it will be calculated at the higher cost price. Loading equipment like safety belts will be our own and have to give back carriage free in the space of one month. Otherwise we will bring it to account.

Warranty
In case of a defective or bad delivery it's essential to bring complaints to notice promptly after receiving goods. On principle warranty for products based on the regulations of the  respective manufacturer. We will make an application for guarantee by the manufacturer only, if all contractual obligations, first of all full payment, are complied. Warranty expires without delay completely if the customer or third parties make modifications or repairs in the absence of a written agreement by the manufacturer. In the case of return delivery within a possible warranty case the buyer bears the costs. In a matter of a warranty case the costs will be reimbursed as a fixed rate to the customer. The costs has to be calculated from the customer before return delivery to our workshop.  Higher costs than the provided fixed rate will be not reimbursed. Consumable supplies like plaster, paints, construction chemistry products or insulating materials have to inspect from the customer directly upon receipt of the goods. Later on a complaint or a warranty is excluded.

Place of fulfilment and jurisdiction
For deliveries, repairs, warranty, payment and all other bilateral contractual obligations the place of fulfilment and jurisdiction is Bautzen, Germany.
